1. Agreement to Terms

Welcome to Middly. These Terms of Use ("Terms") constitute a legally binding agreement between you and Middly ("we," "our," or "us") governing your access to and use of the Middly mobile application and related services (collectively, the "Service").

By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

We may modify these Terms at any time. We will notify you of material changes through the app or by email. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms.

2. Description of Service

Middly is a communication and conflict resolution tool designed to help couples navigate disagreements. The Service uses artificial intelligence to:

• Facilitate structured conversations between partners
• Generate neutral summaries of each partner's perspective
• Identify common ground and shared values
• Suggest actionable next steps for resolution

The Service is designed as a communication aid and is not a substitute for professional counseling, therapy, or mental health treatment.

4. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements.

5. Account Registration and Security

To use most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe may be compromised.

6. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You agree NOT to:

• Use the Service for any unlawful purpose or in violation of any laws
• Impersonate another person or misrepresent your identity
• Share content that is abusive, threatening, harassing, defamatory, or promotes violence
• Use the Service to manipulate, deceive, or coerce your partner
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated tools to access or interact with the Service
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to collect information about other users without consent
• Resell, redistribute, or sublicense access to the Service

7. Partner Connection and Consent

Middly is designed for use between consenting partners. When you invite a partner to connect:

• You must only invite someone who has agreed to participate
• Both partners must voluntarily consent to use the Service
• You must not pressure, coerce, or manipulate anyone into using Middly
• Each partner maintains their own account and can disconnect at any time
• If your partner disconnects or deletes their account, shared session access may be affected

8. AI-Generated Content

The Service uses artificial intelligence to generate summaries, insights, and suggestions. You understand and agree that:

• AI-generated content may not always be accurate, complete, or appropriate
• AI outputs are based on the information you provide and may reflect biases in the input
• AI suggestions are not professional advice and should be evaluated critically
• We do not guarantee the quality, accuracy, or suitability of AI outputs
• You are responsible for how you choose to act on AI-generated suggestions
• AI-generated content should not be relied upon for important life decisions without consulting appropriate professionals

9. User Content

"User Content" means any content you submit, post, or transmit through the Service, including session inputs, feedback, and communications.

Your Rights

You retain ownership of your User Content. However, by submitting User Content, you grant us a limited license to use, process, and store your content as necessary to provide and improve the Service.

Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to submit the content
• Your content does not violate any third party's rights
• Your content complies with these Terms and applicable laws

10. Intellectual Property

The Service, including its design, features, content, and technology, is owned by Middly and protected by intellectual property laws. This includes:

• Trademarks, logos, and brand elements
• Software, code, and technical implementations
• User interface designs and visual elements
• Documentation and instructional content

You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Third-Party Services

The Service integrates with third-party services including:

• Authentication providers (Clerk)
• Cloud infrastructure (Convex)
• AI services (Google Gemini)
• App stores (Apple App Store)

Your use of these third-party services may be subject to their own terms and privacy policies. We are not responsible for the practices of third-party services.

13. Fees and Payments

Middly may offer free and paid features. For paid features:

• Prices and features will be clearly displayed before purchase
• Payments are processed through the App Store
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are handled according to App Store policies
• We reserve the right to change pricing with reasonable notice

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
• WARRANTIES THAT THE SERVICE WILL IMPROVE YOUR RELATIONSHIP OR RESOLVE CONFLICTS

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL
• WE SHALL NOT BE LIABLE FOR RELATIONSHIP OUTCOMES, EMOTIONAL DISTRESS, OR PERSONAL DECISIONS MADE BASED ON THE SERVICE
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR $100, WHICHEVER IS GREATER

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Middly and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another.

17. Termination

You may stop using the Service and delete your account at any time through the app settings.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we believe is harmful to other users or the Service
• Requests from law enforcement or government agencies
• Discontinuation of the Service

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

18. Dispute Resolution

We hope to resolve any disputes informally. If you have a concern, please contact us first at support@middly.app.

If we cannot resolve a dispute informally, you agree that any dispute arising from these Terms or the Service will be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property matters.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts located in California.

20. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Middly regarding the Service.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
• Notices: We may provide notices through the app, by email, or by posting on the Service.
